Welcome to Kwantor! This website and associated services, including the webapp and mobile apps (collectively, the “Service”) are provided by Kwantor B.V. (“Kwantor”, “we”, “us”, or “our”), registered with the Dutch Chamber of Commerce under number 97698482, VAT number NL004669591B71. Our registered office is at Kampenringweg 45-D, 2803PE Gouda, Netherlands, and we are represented by our sole director, Wouter Martijn Roozen. Terms of Use
These Terms govern your use of the Service. By accessing or using the Service you agree to be bound by them. If you disagree with any part, you may not access the Service.
Description of the Service
Kwantor provides software enabling users to create collaborative projects and arrangements, including remuneration for investments and contributions in kind. Tools are provided to create and manage instruments relating to profit entitlements among involved parties.
The Service is provided “as is”. We do not guarantee the accuracy, legality, suitability, or applicability of the materials provided. You are solely responsible for determining the legal status, applicability, and enforceability of any arrangements or signatures created through the Service.
Kwantor does not provide legal advice and using the Service does not create an attorney–client relationship. Consult a licensed attorney if you require legal advice and comply with all applicable laws when using Kwantor.
Model Contracts Disclaimer
Model contracts offered through the Service are generic templates. You are solely responsible for ensuring that any contract you generate, complete, or sign through the Service meets your requirements and complies with applicable laws. Always seek independent legal review before relying on or executing a model contract. Kwantor disclaims liability for outcomes arising from your use of these materials.
Regulatory and Compliance Obligations
You acknowledge that arrangements created via Kwantor may constitute financial instruments or securities under Dutch and EU law and may have implications under labour, social security, tax, and other regulations.
You accept sole responsibility for complying with all relevant financial, securities, regulatory, and labour laws, including EU Prospectus Regulation, MiFID II, AML/KYC regulations, and rules enforced by the AFM and DNB. Kwantor disclaims liability for any consequences arising from your failure to meet such obligations.
Beta Status
Kwantor is currently in beta. Availability or continuity of the Service is not guaranteed, and we may modify or discontinue the Service without notice. Kwantor is not liable for any loss or damage arising from use of or inability to use the Service during the beta period.
User Account and Security
You are responsible for maintaining the confidentiality of your account credentials. Notify Kwantor immediately of any unauthorised use of your account. Kwantor is not liable for losses arising from failure to maintain account security.
Fees and Payments
Pricing information is available at https://www.kwantor.com/pricing. We may change pricing at any time with at least 30 days’ notice before the new rates take effect.
Payments are processed through a third-party provider. You authorise us to charge your payment method for fees associated with the Service and agree to comply with the provider’s terms. If your payment fails, we may suspend or terminate access until payment succeeds.
You may cancel your subscription at any time; future billing cycles will not be charged, but fees already paid are non-refundable. Access continues until the current cycle ends.
All prices are exclusive of VAT and other taxes unless stated otherwise. You are responsible for applicable taxes. If we are required to withhold taxes, we may deduct them from your payments and remit them to the relevant authorities.
We may offer a free Sandbox plan with limited functionality (testnet tokens, demo contracts). The Sandbox plan is not suitable for real-world usage and availability is not guaranteed.
Referral Program
1. Definitions:
- Referral Code: the unique alphanumeric code generated for each eligible Referrer.
- Referrer: a user with an active Entrepreneur plan billed annually.
- Referred User: a new user who enters a valid Referral Code when subscribing to an annual Entrepreneur plan.
- Referral Period: the rolling 12-month period preceding each referral calculation.
2. Eligibility: Only Entrepreneur-plan users billed annually, and registered for Dutch VAT, may participate as Referrers.
3. Referral Code Issuance: A personal code is issued when an annual Entrepreneur plan is activated.
4. Referral Discount: Valid codes grant referred users the standard 10% annual billing discount plus an additional 10% discount.
5. Referral Rewards: Referrers earn a percentage of the net amount charged (ex VAT) to the referred user: 10%, 15%, 20%, 25%, 30%, 35%, 40%, 45%, 50%, and 55% for the 1st through 10th valid referrals respectively (capped at 55%).
6. Calculation Example: Annual plan €10 per user × 12 months × 10 users = €1,200. Less 20% total discount = €960 charged; first referral reward = 10% × €960 = €96.
7. VAT and Taxes: Rewards are exclusive of VAT. Kwantor may issue self-billed invoices including Dutch VAT. Referrers are responsible for other applicable taxes.
8. Payout Procedure: Within 30 days after each valid referral payment, Kwantor requests payout details. Failure to provide accurate details waives payout obligations.
9. Termination and Suspension: Kwantor may suspend or terminate participation for fraud, abuse, or breach. Earned rewards remain payable subject to Section 8.
10. Self-Referral Prohibited: Creating additional accounts to self-refer is not allowed; such rewards are void.
11. Modification: Kwantor may modify or end the referral programme prospectively; existing referrals remain subject to the terms in effect at the time of referral.
Acceptable Use Policy
You agree not to misuse the Service, including by transmitting spam, malware, or harmful content, or by disrupting the Service or violating applicable laws. Kwantor may suspend or terminate your account immediately if you violate this policy.
Service Availability
Kwantor endeavours to provide continuous availability but does not guarantee uninterrupted service. Scheduled maintenance and occasional downtime may occur. We will announce scheduled maintenance when reasonably possible but are not liable for resulting disruption.
Data Protection and Privacy
Your use of the Service is governed by our Privacy Policy, which outlines how we collect, store, process, and protect personal data.
Data Ownership
You retain all rights to data and content you upload or create through the Service. You grant us a limited licence solely to provide and maintain the Service. Upon account termination we delete your data within 60 days unless legally required to retain it longer.
Intellectual Property
The Service and its materials (software, text, graphics, logos, images, etc.) are owned by or licensed to Kwantor and protected by intellectual-property laws. You receive a limited, non-transferable, revocable licence to use the Service for its intended purpose. Reproduction, modification, distribution, or derivative works require prior written consent.
By providing feedback or suggestions you grant Kwantor a perpetual, irrevocable, royalty-free licence to use and incorporate that feedback without obligation or compensation.
Third-Party Services and Integrations
The Service may integrate or link to third-party services. Their terms and policies apply, and Kwantor is not responsible for the content, accuracy, legality, or availability of third-party services. You agree to comply with relevant third-party terms.
Modification of Terms
Kwantor may modify or update these Terms at any time. Substantial modifications are communicated at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
Term and Termination
We may terminate or suspend access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, your right to use the Service ceases immediately.
Force Majeure
Kwantor is not liable for delays, disruptions, or failures caused by events beyond our reasonable control, including acts of nature, governmental actions, pandemics, wars, terrorism, internet outages, or third-party service disruptions.
Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY, LEGALITY, SUITABILITY, OR APPLICABILITY OF SERVICE MATERIALS AND DISCLAIM LIABILITY FOR ERRORS OR OMISSIONS.
Limitation of Liability
In no event shall Kwantor or its partners, agents, suppliers, or affiliates be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses arising from your use of or inability to use the Service.
Indemnification
You agree to indemnify and hold harmless Kwantor, its affiliates, partners, employees, agents, and suppliers from claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from your violation of these Terms or misuse of the Service.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Netherlands. Disputes will first be addressed through good-faith negotiations. Failing resolution within 30 days, disputes fall under the exclusive jurisdiction of the competent Dutch courts.
General
These Terms constitute the entire agreement between you and Kwantor regarding the Service and supersede prior communications. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
